Independent Contractor Agreement

This Independent Contractor Agreement ("Agreement") is entered into between Openoffice Technologies, Inc., a Delaware corporation doing business as Bluclock ("Bluclock"), and the current or former sworn U.S. law enforcement officer who creates an Agent account on the Bluclock platform (the "Agent", "you", or "your"). It supplements, and is incorporated by reference into, the Bluclock Terms and Conditions and Privacy Policy. By activating an Agent account or accepting an assignment, you agree to this Agreement.

1. Independent Contractor Status

You are an independent contractor, not an employee, agent, joint venturer, partner, or franchisee of Bluclock. Nothing in this Agreement creates an employment relationship. You alone control the means and methods by which you perform assignments, subject only to the lawful instructions of the Client at the assignment site and the standards of your sworn / retired status and applicable state licensure.

  • Bluclock does not direct your day-to-day work, set your hours outside the booked window, or supervise the manner of performance.
  • You are free to accept or decline any assignment offered through the platform.
  • You may provide services to other clients, agencies, and platforms.
  • You supply your own uniform, duty gear, firearm (where applicable), and personal equipment.

2. Taxes & Benefits

  • You are solely responsible for federal, state, and local income, self-employment, and any other taxes on amounts paid to you.
  • Bluclock will report payments to you on IRS Form 1099-NEC (or successor form) where required and will not withhold taxes.
  • You are not eligible for employee benefits, paid leave, workers' compensation, unemployment, or health insurance from Bluclock.
  • You agree to provide a completed Form W-9 (or W-8 for non-U.S. persons) before payout.

3. Eligibility & Verification

You represent and warrant, at activation and on every assignment, that you are:

  • A current sworn U.S. law enforcement officer in good standing, or a former LEO who separated in good standing (not terminated for cause, decertified, or under investigation likely to result in decertification).
  • Authorized by your employing agency (active officers) to perform off-duty details booked through the platform, in compliance with your agency's secondary-employment policy.
  • Properly licensed in the state(s) where you accept assignments (e.g., TX DPS Level II/III/IV, CA BSIS Guard Card & Firearms Permit, FL Class D/G, NY 8/16/47-hour, IL PERC/FOID/FCCL), and current on any state-required firearms qualification.
  • For retired officers carrying a firearm under LEOSA / 18 U.S.C. § 926C, in possession of a valid agency-issued retired credential and a current annual firearms qualification meeting your state's active-duty standard or the standard certified by a qualified instructor in the state of residence.
  • Free of any disqualifying criminal history, restraining order, or condition under federal or state law (including 18 U.S.C. § 922(g)) that would prohibit possession of a firearm or service in this capacity.

You authorize Bluclock and its consumer reporting agencies to perform initial and ongoing background checks, POST / decertification lookups, license verification, and continuous criminal monitoring as described in our Privacy Policy.

4. Conduct on Assignment

  • Follow the lawful Post Orders and site rules acknowledged at check-in.
  • Check in and check out via the Bluclock app inside the geofenced site.
  • De-escalate first; use force only when necessary, proportionate, and consistent with constitutional standards, agency policy, and applicable law.
  • Report any use of force, weapon display, injury, arrest, medical event, or significant incident through the in-app Incident Report before leaving the site.
  • Maintain professional appearance, sobriety, and confidentiality regarding the Client's premises, guests, and operations.
  • Do not consume alcohol or controlled substances within 8 hours before or during an assignment.
  • Do not subcontract, share, or transfer an assignment to another person.

5. Insurance, Liability & Indemnity

  • Bluclock maintains commercial general liability coverage as described in the Insurance & COI Disclosures. That coverage does not cover use of force, weapons discharge, intentional acts, auto liability, or workers' compensation.
  • You are responsible for maintaining any personal professional liability / law-enforcement officer (LEO) liability coverage you choose to carry, and (active officers) for confirming whether your agency's policies extend to approved off-duty details.
  • You will indemnify, defend, and hold harmless Bluclock, its officers, directors, employees, and affiliates from any third-party claim, loss, damage, fine, or expense (including reasonable attorneys' fees) arising out of (a) your acts or omissions on an assignment, (b) your breach of this Agreement or applicable law, (c) any use of force or weapon by you, or (d) any misrepresentation in your verification data.
  • Bluclock's aggregate liability to you under or in connection with this Agreement is limited to the platform fees you have paid to Bluclock in the twelve (12) months prior to the event giving rise to the claim.

6. Payment

Payment terms (rate, hours, minimums, cancellation, and rounding) are displayed on each job posting and incorporated into this Agreement when you accept that assignment. Bluclock collects from the Client, deducts platform fees, and pays out the net to your designated payout account on the schedule shown in your dashboard, typically within a few business days after successful job completion and check-out.

7. No Exclusivity; No Restraint on Trade

Nothing in this Agreement restricts your ability to work for any agency, employer, or client. You may not, however, while engaged with a Client through Bluclock and for twelve (12) months thereafter, knowingly circumvent Bluclock to provide the same or substantially similar services to that Client outside the platform for any job that originated on the platform. This non-circumvention clause is narrowly limited to protecting Bluclock's reasonable platform-introduction interest and does not prevent you from accepting unrelated engagements with that Client.

8. Confidentiality

You will treat as confidential any non-public information you learn about Bluclock, a Client, a Client's premises, or platform users, and you will use it only to perform assignments. This obligation survives termination of this Agreement.

9. Suspension & Termination

  • Either party may end this Agreement at any time by deactivating the Agent account or removing access.
  • Bluclock may place you on "review hold" pending re-verification, an incident review, or a Client complaint.
  • Bluclock may immediately terminate this Agreement for cause, including loss of sworn status / licensure, criminal charges, a credible safety concern, fraud, or material breach.
  • Sections 2, 5, 7, 8, 10, and 11 survive termination.

10. Dispute Resolution; Arbitration

Disputes between you and Bluclock are resolved by binding individual arbitration in Dallas County, Texas under the AAA Commercial Rules, and you and Bluclock each waive class actions, as set forth in §16 of the Terms and Conditions. This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

11. General

  • This Agreement, together with the Terms and Privacy Policy, is the entire agreement between you and Bluclock regarding your status as an Agent.
  • If any provision is unenforceable, the remainder remains in effect.
  • Bluclock may amend this Agreement on notice (in-app or by email). Continued use of the platform after the effective date is acceptance.
  • You may not assign this Agreement. Bluclock may assign it in connection with a merger, financing, or sale of assets.

12. Acknowledgment

By activating your Agent account or accepting an assignment, you acknowledge that you have read, understood, and agree to this Agreement, including the independent-contractor classification, indemnity, arbitration, and non-circumvention provisions.
