Terms and Conditions

These Terms and Conditions ("Terms") form a binding agreement between you and Openoffice Technologies, Inc., a Delaware corporation doing business as Bluclock ("Bluclock", "we", "us", "our"), with its principal place of business in Frisco, Denton County, Texas. They govern your access to and use of the Bluclock website, mobile experiences, and platform services (the "Services").

PLEASE READ CAREFULLY. These Terms contain a binding arbitration clause and class-action waiver in §16. By creating an account or using the Services, you agree to these Terms and our Privacy Policy.

1. What Bluclock Is

Bluclock is a technology platform that connects independent, vetted current and former U.S. sworn law enforcement officers ("Agents") with individuals, businesses, venues, and event organizers ("Clients") seeking lawful security details, executive protection, venue and crowd security, traffic control, and related services ("Engagements"). Bluclock provides booking, matching, scheduling, geofenced check-in/check-out, incident reporting, messaging, payments, and dispute tooling.

Bluclock is not a security company, security guard, or law-enforcement agency. We do not perform security services, do not employ Agents to perform Engagements, and do not direct their work. Agents are independent contractors who contract directly with Clients through the platform. Bluclock is not a party to any Engagement.

2. Eligibility

  • You must be at least 18 years old and able to form a binding contract.
  • Clients may be individuals or authorized representatives of an organization.
  • Agents must be (a) a current sworn U.S. law enforcement officer in good standing, or (b) a former sworn LEO who separated in good standing, and must hold all licenses required by the state(s) where they accept Engagements (see §4).

3. Accounts

You agree to provide accurate, current, and complete information; to keep credentials confidential; and to be responsible for all activity on your account. Notify us immediately at support@bluclock.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Agent Verification & Ongoing Compliance

Bluclock's value depends on the integrity of our vetting. Agents are activated only after completing our verification program and remain subject to ongoing monitoring:

  1. Identity proofing. Government-ID capture with liveness and selfie match through a third-party identity verification provider.
  2. Sworn-status verification. Current officers: written confirmation or roster verification from the employing agency or via authorized POST/state databases. Former officers: verification of dates of service and separation status with the prior agency or state commission.
  3. POST & decertification screening. Where available, we query state Peace Officer Standards and Training and national decertification indexes to confirm certification and check for revocations or misconduct findings.
  4. State security licensing. Independently of LEO status, Agents must hold every license required by the state(s) where they work — for example, CA BSIS Guard Card (and Firearms Permit if armed), TX DPS PSB Level II / III / IV, FL Class D (and Class G if armed), NY 8-/16-/47-hour registrations and pre-assignment training, IL PERC (and FOID + Firearm Control Card if armed). Bluclock records license numbers, expirations, and re-qualification dates.
  5. FCRA background checks. National and county criminal searches, federal exclusion lists, sex-offender registry, and motor-vehicle record where applicable, performed by an accredited consumer reporting agency with your written authorization, prior to activation and re-run at least annually and after any reported incident.
  6. References. At least one supervisor or commanding-officer reference for current or recent service.
  7. Ongoing monitoring. Continuous criminal monitoring, license-lapse alerts, rating triggers, and incident-based review may result in temporary or permanent deactivation.

Misrepresentation of sworn status, agency affiliation, licensing, or training is grounds for immediate, permanent removal from the platform and may be reported to the relevant agency, state commission, or law-enforcement authorities. Agents must comply with their employing agency's secondary-employment / off-duty policies and all applicable laws at all times.

5. Bookings & Engagements

  • Clients post Engagements with site, time, scope, armed/unarmed requirement, and any special instructions. Agents accept Engagements they are eligible and willing to perform.
  • The contract for each Engagement is formed directly between the Client and the Agent(s). Bluclock facilitates booking, scheduling, payment, and dispute handling but is not a party to it.
  • Agents must check in within the geofenced site at the scheduled start time and check out at completion. Failure to check in/out may forfeit pay and trigger review.

6. Payments, Fees & Taxes

  • Clients authorize Bluclock (and its payment processor) to charge the payment method on file for the Engagement total, taxes, and any applicable fees, surcharges, overtime, or cancellation penalties per the published pricing and our cancellation policy.
  • Bluclock charges a platform/service fee disclosed at booking. Agents are paid out net of platform fees on the schedule shown in their dashboard, typically after Engagement completion and any applicable hold period.
  • Agents are independent contractors responsible for their own taxes. Bluclock will issue Form 1099-NEC or 1099-K as required.
  • Chargebacks and unauthorized disputes may result in account suspension and collection action.

7. Cancellations, No-Shows & Disputes

Cancellation fees, refund eligibility, and no-show penalties are determined by the cancellation policy in effect at the time of booking and displayed at checkout. Disputes about Engagement performance, cancellations, or charges are handled through the in-app dispute tool. Bluclock may mediate, request evidence (check-in logs, photos, messages), and make a binding determination regarding refunds or payouts under these Terms.

8. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or to facilitate any illegal activity.
  • Misrepresent identity, agency affiliation, sworn status, training, or licensing.
  • Solicit, accept, or arrange Engagements outside the platform with Agents or Clients introduced through the platform ("circumvention") for 12 months after the most recent contact.
  • Discriminate against any person in violation of applicable law.
  • Use the Services to perform repossession, evictions, debt collection, or "private bounty" work.
  • Carry a firearm on duty without the licenses required by the state and (for current officers) without your agency's express secondary-employment authorization.
  • Interfere with platform integrity, scrape data, or reverse-engineer the Services.

9. Use of Force & Safety

Agents must follow all applicable laws and their agency policies (where currently sworn) regarding use of force, detentions, arrests, and firearms. Any incident involving injury, use of force, or firearms discharge must be reported through the in-app Incident Report tool within 24 hours and to any required regulatory or law-enforcement authority.

10. Client Responsibilities

  • Provide accurate site information, lawful access, and a reasonably safe work environment.
  • Comply with all laws applicable to the Engagement and the site.
  • Not direct Agents to perform any act that would violate law, agency policy, or these Terms.

11. Intellectual Property; Feedback

Bluclock and its licensors own all rights in the Services, including software, designs, trademarks, and content. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. Feedback you submit may be used by Bluclock without restriction or compensation.

12. Third-Party Services

The Services integrate third-party providers (identity verification, CRAs, payment processors, mapping, SMS/email). Your use of those services may be subject to their own terms.

13. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BLUCLOCK DOES NOT GUARANTEE THE CONDUCT, QUALIFICATIONS, OR PERFORMANCE OF ANY AGENT OR CLIENT, OR THE OUTCOME OF ANY ENGAGEMENT. VERIFICATION IS A BEST-EFFORTS PROCESS BASED ON AVAILABLE SOURCES AND IS NOT A GUARANTEE OF FUTURE CONDUCT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUCLOCK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES OR ANY ENGAGEMENT. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO BLUCLOCK IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

15. Indemnification

You will indemnify, defend, and hold harmless Bluclock and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Services, (b) your Engagements, (c) your breach of these Terms or violation of law, or (d) your violation of any third-party right.

16. Arbitration & Class-Action Waiver

Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer or Commercial Arbitration Rules, seated in Dallas County, Texas. You and Bluclock waive any right to a jury trial and to participate in a class, collective, or representative action.You may opt out of arbitration by emailing support@bluclock.com within 30 days of first accepting these Terms.

17. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware (without regard to conflict-of-laws principles). Subject to §16, exclusive venue for any action not subject to arbitration lies in the state or federal courts located in Denton County, Texas.

18. Termination

You may close your account at any time. We may suspend or terminate access at any time for any breach of these Terms, law, or risk to users or the platform. Sections that by their nature should survive (e.g., payment obligations, disclaimers, limitations, arbitration, indemnity) will survive.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app message and will be effective on the date posted. Continued use of the Services constitutes acceptance.
